1. Agreement to Terms
By accessing or using ScanOps services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all users of our platform, including mail forwarding, document scanning, LLC formation, and related business services.
2. Description of Services
ScanOps provides:
- Mail Forwarding: Physical mail receipt, scanning, and forwarding services
- Virtual Business Address: Commercial mailing address for business use
- Document Scanning: OCR processing and digital document management
- LLC Formation: Business formation services in various states
- Registered Agent: Statutory agent services for legal compliance
- AP Processing: Invoice extraction and accounting integration
- Freight Audit: Shipping invoice verification and variance detection
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our services. By registering, you represent that all information provided is accurate and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access. We recommend enabling two-factor authentication for enhanced security.
3.3 USPS Form 1583 Requirements
To receive mail forwarding services, you must complete and submit USPS Form 1583 with valid government-issued identification. This is a federal requirement for Commercial Mail Receiving Agencies (CMRAs). False or misleading information on Form 1583 may result in service termination and potential legal consequences.
4. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws or regulations
- Receive or send illegal materials, contraband, or hazardous substances
- Engage in fraud, money laundering, or other financial crimes
- Infringe intellectual property rights of others
- Harass, threaten, or harm others
- Interfere with or disrupt our services or systems
- Attempt to gain unauthorized access to our systems
- Use our address for illegal business activities
5. Fees and Payment
5.1 Subscription Fees
Service fees are charged according to your selected plan. Subscription fees are billed in advance on a monthly or annual basis. Prices are subject to change with 30 days' notice.
5.2 Additional Charges
Additional charges may apply for services beyond your plan limits, including extra mail pieces, document scans, shipping/forwarding costs, and expedited processing.
5.3 Refund Policy
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a prorated basis within the first 30 days. One-time service fees (LLC formation, shipping) are non-refundable once processing has begun.
6. Mail Handling
6.1 Mail Receipt and Processing
We will receive mail on your behalf at your assigned address. Mail is logged, scanned (envelope exterior), and held for your instructions. You may request scanning of contents, forwarding, or shredding.
6.2 Prohibited Items
We reserve the right to refuse any mail or packages that we believe contain illegal, dangerous, or prohibited items. We may be required to report suspicious items to authorities.
6.3 Unclaimed Mail
Mail held for more than 90 days without instructions may be returned to sender or destroyed. We will attempt to notify you before taking such action.
7. LLC Formation Services
Our LLC formation services assist with filing necessary documents with state authorities. We are not a law firm and do not provide legal advice. You should consult with an attorney for legal questions about your business structure. State filing fees are separate from our service fees and are subject to change.
8. Intellectual Property
All content, features, and functionality of our platform are owned by ScanOps and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission. Your content remains your property; you grant us a license to process and store it as needed to provide services.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim. This limitation applies regardless of the theory of liability.
We are not responsible for delays or failures in postal delivery, carrier services, or government processing. We are not liable for the contents of mail or documents processed through our services.
10. Indemnification
You agree to indemnify and hold harmless ScanOps, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
11. Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes. Continued use after changes constitutes acceptance.
12. Termination
12.1 Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You remain responsible for any outstanding charges.
12.2 Termination by Us
We may terminate or suspend your account immediately for violation of these Terms, fraudulent activity, non-payment, or as required by law. Upon termination, we will hold your mail for 30 days for pickup or forwarding instructions.
13. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall take place in Florida. You waive any right to participate in class action lawsuits.
14. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought in the courts of Orange County, Florida.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
